Terms of Service

These terms govern the use of ConvChat, a customer messaging platform operated by Appik Studio, Switzerland. They are written for businesses — ConvChat is a B2B service — and in plain language on purpose.
1. The agreement
ConvChat is provided by Appik Studio (“we”, “us”), Switzerland. By creating a workspace or using the service you (“the customer”) agree to these terms on behalf of the business you represent, and you confirm that you have the authority to do so. ConvChat is offered to businesses only, not to consumers.
2. The service
ConvChat is an all-in-one customer messaging platform: an embeddable live-chat widget for your website, a shared team inbox for your agents, an AI assistant on Growth and Scale that answers your visitors’ questions from your FAQ content, and email continuation so conversations carry on by email when a visitor leaves your site.
We continuously improve the service and may add, change or retire features. We will not materially reduce the core functionality you pay for during a paid term without notice.
3. Accounts & acceptable use
You are responsible for your account credentials, for the agents you invite to your workspace, and for the content your team sends through the service. You must not use ConvChat to send spam or unlawful content, to infringe third-party rights, to distribute malware, or to probe or disrupt the service or other customers’ workspaces.
You are also responsible for ensuring that your own use of the chat widget on your website complies with the laws that apply to you, including informing your visitors about data processing where required (we provide a Data Processing Agreement to help with this).
4. Free trial
New workspaces get a 30-day free trial. No credit card is required to start. If you do not subscribe to a paid plan by the end of the trial, we will continue to show usage and ask you to choose a plan; as with the conversation limits below, the product is designed to avoid surprise lockouts.
5. Plans, billing & payment
ConvChat is sold per active project. With yearly billing, Starter is CHF 49/month/project, Growth is CHF 99/month/project and Scale is CHF 200/month/project. With monthly billing, the prices are CHF 59, CHF 119 and CHF 240 respectively. One website, brand or app environment counts as one project. Every plan includes unlimited agents; Growth and Scale include the AI assistant without credits or per-resolution charges.
Payments are processed by Stripe; we do not store your card details. The subscription quantity follows the number of active projects in your workspace, with a minimum of one billable project per workspace. Adding or removing a project may create a prorated charge or credit for the remainder of the current billing term. Subscriptions renew automatically unless cancelled. If we change unit prices, the new price applies from your next renewal, and we will tell you in advance.
6. Conversation limits
Plans include a monthly conversation volume per project: 1,000 conversations on Starter (and during the trial), 5,000 on Growth and 20,000 on Scale. The workspace allowance equals that per-project volume multiplied by its number of active projects. These limits are deliberately soft: exceeding your monthly conversation volume never blocks human chat and never triggers surprise charges. Your widget keeps working and your inbox keeps receiving, while automated AI replies pause until the next monthly allowance or an upgrade. If you are consistently over Scale’s volume, contact us for a custom allowance; otherwise we will reach out and discuss the right plan.
7. AI assistant fair use
The AI assistant is included on Growth and Scale with no credits or per-resolution metering. Starter does not include automated AI replies. In return we ask for fair use: AI is meant to answer real questions from real visitors of your website. If we detect abusive automated load — for example scripted traffic designed to generate large volumes of AI responses — we may throttle AI responses for your workspace after notifying you, so the service stays fast and fairly priced for everyone. We will always contact you before and while doing so, and throttling never affects human-to-human chat.
8. Your data & privacy
You retain all rights to your data. For the personal data of your website visitors, you are the controller and we process it on your behalf as described in our Data Processing Agreement. How we handle personal data generally is described in our Privacy Policy, and our security practices on the Security page.
9. Termination & refunds
You can cancel your subscription at any time. If you cancel a yearly plan before the end of its term, we refund the unused full months on a pro-rata basis — we don't believe in keeping money for a service you no longer use. After termination you can request an export of your data; we then delete it as described in the Data Processing Agreement.
We may suspend or terminate a workspace that materially breaches these terms (for example, the acceptable-use rules in section 3) if the breach is not remedied within a reasonable period after notice — or immediately where the breach is severe or unlawful. In case of termination by us without such a breach, we refund the unused part of the term pro rata.
10. Availability
We run ConvChat on reliable, managed infrastructure and aim for high availability, but we do not currently offer a contractual SLA or uptime guarantee. Planned maintenance is performed with as little disruption as possible. If we introduce an SLA later, it will be published and apply in addition to these terms.
11. Warranties & liability
The service is provided “as is” and “as available”. To the extent permitted by law, we exclude all other warranties. AI-generated answers are produced automatically from your FAQ content and may contain errors; you remain responsible for the answers given to your customers.
To the extent permitted by Swiss law, our total aggregate liability under these terms is limited to the fees you paid us in the twelve months preceding the event giving rise to the claim, and neither party is liable for indirect or consequential damages, lost profits or lost data. Nothing in these terms excludes liability for unlawful intent or gross negligence, which cannot be excluded under Swiss law.
12. Changes to these terms
We may update these terms from time to time. For material changes we will notify you by email or in the dashboard at least 30 days before they take effect. If you do not agree with a material change, you may cancel before it takes effect and receive a pro-rata refund of the unused term.
13. Governing law & jurisdiction
These terms are governed by Swiss law, excluding its conflict-of-law rules and the UN Convention on Contracts for the International Sale of Goods (CISG). The exclusive place of jurisdiction is Lausanne, Switzerland.
